Terms of Service
Effective May 16, 2026 · Governs access to the AZREX service.
AZREX is pre-launch. Access today is for synthetic walkthroughs only and is provided on an as-is basis with no service level commitment. You may not upload real patient data until AZREX and your practice have executed a Business Associate Agreement (BAA) and your tenant has been migrated to a production environment.
1. Agreement
These Terms of Service (“Terms”) are a binding agreement between AZREX (“AZREX”, “we”) and the entity or individual accessing the AZREX service (“you”, “Customer”). By using AZREX you agree to these Terms. If you do not agree, do not use the service.
2. Eligibility
AZREX is intended for use by licensed United States healthcare providers and their authorized staff acting in a professional capacity. You represent that you are at least 18 years old and have authority to bind the practice you represent.
3. Account access
Access is provisioned through a magic-link invitation flow issued by AZREX. Each authorized user receives a bearer credential tied to your tenant. You are responsible for keeping your credential confidential and for all activity that occurs under your account. Notify us promptly at support@azrex.us if you suspect a credential has been compromised.
4. Pre-launch and sandbox-only posture
AZREX is currently delivered in a sandbox configuration intended for product walkthroughs on synthetic data. Until each of the following is true for your tenant, you may not upload real PHI:
- A BAA between AZREX and your practice is fully executed.
- AZREX has migrated your tenant to a production environment with the AWS BAA in scope.
- AZREX has confirmed the production tenant is active in writing.
We may suspend or terminate access if real patient data is uploaded outside of an authorized production tenant. Such uploads are out-of-scope and unauthorized under these Terms.
5. Acceptable use
You agree not to:
- Upload real PHI outside an authorized production tenant under a signed BAA.
- Probe, scan, or test the vulnerability of the service without our prior written permission.
- Reverse engineer, decompile, or attempt to extract source code from the service.
- Use the service to harass, defraud, or violate the rights of any person, including by submitting an appeal letter the responsible physician has not authorized.
- Resell, sublicense, or commercially redistribute the service or its output without our written consent.
- Automate access at a rate intended to degrade the service for other tenants.
6. Customer responsibilities
- You are solely responsible for the accuracy and legality of the documents you upload and the appeals you send.
- You confirm that any document uploaded outside a production tenant is synthetic and contains no real PHI.
- You will obtain and maintain any consents, authorizations, and licenses required to use the service in connection with your practice.
- You will keep your account contact information current.
7. Physician judgment and decision support
AZREX is a decision-support tool. Every appeal AZREX drafts is a draft. A qualified physician’s independent review and signature are required before any letter leaves your practice; AZREX does not auto-submit appeals to payers. You retain full medical and legal responsibility for the content of any communication sent on your behalf.
8. Intellectual property
AZREX retains all right, title, and interest in and to the service, including its software, documentation, policy corpus, templates, and trademarks. You retain ownership of the documents you upload (“Customer Content”). You grant AZREX a limited license to host, process, and display Customer Content solely to provide the service to you. We do not train machine-learning models on Customer Content.
9. Confidentiality
Each party will protect the other’s confidential information using at least the same degree of care it uses for its own confidential information of similar importance, and not less than a reasonable degree of care.
10. Fees and billing
Pre-launch pilot access is provided at no charge unless a separate order form states otherwise. Production pricing will be defined in a separate order form executed between AZREX and the Customer before any production tenant is enabled.
11. Term and termination
These Terms apply for as long as you access the service. Either party may terminate by written notice; AZREX may suspend access immediately for material breach, security risk, or violation of §4 or §5. On termination we will delete or return Customer Content per the schedule in our Privacy Policy or applicable BAA.
12. Disclaimers
The service is provided on an “AS IS” and “AS AVAILABLE” basis. To the maximum extent permitted by law, AZREX disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
AZREX output is not medical advice, legal advice, or a guarantee that any specific denial will be overturned. The drafted letter is a starting point for a physician’s review.
13. Limitation of liability
To the maximum extent permitted by law, neither party will be liable to the other for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or business, arising out of or in connection with these Terms. AZREX’s aggregate liability arising out of or relating to these Terms will not exceed the fees paid by the Customer to AZREX in the 12 months preceding the event giving rise to the claim, or one hundred US dollars (USD 100) if no fees have been paid.
14. Indemnification
You will defend, indemnify, and hold AZREX harmless from third party claims arising out of (a) Customer Content, (b) your use of the service in violation of these Terms, or (c) your breach of law. AZREX will defend, indemnify, and hold the Customer harmless from third party claims that the service, as provided by AZREX and used in accordance with these Terms, infringes a US patent, copyright, or trademark.
15. Governing law and disputes
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-law principles. Any dispute arising under these Terms will be brought in the state or federal courts located in Delaware, and the parties consent to personal jurisdiction there.
16. Changes to these Terms
We may update these Terms from time to time. Material changes will be posted on this page and, where required, communicated by email to active customer contacts at least 30 days before they take effect.
